Extract Summary of Canandaigua Rotary Club By-Laws

 

The Canandaigua Rotary Club, Inc. is a not-for-profit corporation whose purposes in part are to promote and foster international understand-ing, service to others within the community and worldwide and also to promote high ethical stan-dards
of business and professional conduct.

 

Membership may be in two classifications, to wit: a) active, and, b) honorary, and each active member is classified in accordance with his business or profession.

 

Meetings include the regular weekly meeting held on Thursdays at 12:15 p.m. and the annual meeting held in the month of December for the purpose of electing directors. Due notice of the annual meeting shall be made not less than ten days and no more than fifty days prior to the meeting. A special meeting may be called upon receipt of a written request by 10% of all club members. A quorum shall consist of 1/3 of the membership. Voting shall be allowed by each member except honorary and the election of directors shall be by ballot.

 

Dues are (single payment) $135.00 per annum, or 2 payments of $70.00 each due on the first day of January and July. Non-payment of dues within 90 days are grounds for termination.

 

Directors shall number no less than ten and no more than fourteen. Directors are elected for a three-year term by the membership. At least ninety days prior to election, the President shall appoint a nominating committee to recruit candidates for the election. Any member not selected may file a petition signed by at least 15% of the members entitled to vote. The petition must be filed with the secretary at least twenty days prior to the election date. Board vacancies during the year may be filled by majority vote of the board and the term of the director so elected shall be the term of the vacated board seat.

 

Officers of the Club are elected annually by the Board of Directors. Officers of the Club are the President, (President-elect/Vice-President), Secretary, Treasurer, Sergeant-at-Arms, and such other officers as the Directors may determine. The President shall assume his office on the first day of July. Vacancies in office shall be filled by the Board.

 

Attendance: All members are encouraged to meet the 100% attendance goal by meeting with our club or, when necessary, by make-up meetings. Termination of membership is automatic for non-payment of dues. Board approval is required to mitigate termination for good and sufficient cause.
